Trainer OS engagement agreement

§1Scope

Client engages TOJ to deliver and maintain Trainer OS (Tier 03 · SaaS Program). Engagement includes:

• Premium Snapshot rebuild for skysthelimit.com (multi-page editorial site · member area · client intake · sales flow · monthly content refresh · quarterly strategy review)
• Private GitHub repo (hooks-os) built to TOJ's standard OS architecture · auto-loading CLAUDE.md · full folder structure (data · feedback · goals · skills · workflows)
• Unlimited access to Optimum Grading (analyst-graded evaluation transcripts · private-labeled as CBH Optimum Grading) · Prospect Edge (recruiting research + coach outreach targeting + CBH advocacy ledger) · College Directory (all FBS/FCS/D2 · coach turnover alerts · saved searches)
• Monthly Personal LLM tuning (1-hour Zoom · 2nd Tuesday of each month)
• Quarterly strategy review (90-min Zoom · months 3, 6, 9, 12)
• Priority queue for all new TOJ platform tools

§2Term

12 months minimum from Effective date. Auto-continues month-to-month afterward until either party gives 30 days written notice.

§3Compensation

Payment via ACH, Stripe, or Zelle. Late payments over 15 days accrue 1.5% monthly interest.

§4TOJ SLA

• Uptime: 99.5% platform availability
• Response time: 24 hours async on any Client message (Slack or DM)
• Monthly tuning: 1-hour Personal LLM tuning session · 2nd Tuesday
• Quarterly review: 90-min strategy review · months 3, 6, 9, 12
• New tools integration: Optimum Grading + Prospect Edge + College Directory fully wired by end of month 2
• Case study delivery: TOJ writes + publishes Client case study by end of month 3 · Client reviews + approves before publication
• Platform updates applied automatically to Client's OS

§5Client Responsibilities

• Timely payment per §3
• Weekly 15-min check-in for first 90 days · monthly thereafter
• Feedback loop: corrections + updates committed to OS as they arise (powers the Personal LLM path)
• Case study cooperation: interview + testimonial + numbers verification for publication in month 3
• Public reference: Client permits TOJ to name the engagement as "flagship Trainer OS customer" in TOJ marketing

§6Ownership + IP

• TOJ owns: the Trainer OS platform (6-level architecture · template code · shared libraries · tools infrastructure)
• Client owns: all business data in Client's OS repo (athlete data · deal flow · feedback rules · custom skills · Personal LLM corpus)
• Voice + brand: Client retains all rights to Client's brand · likeness · voice
• On termination: Client receives export of all Client-owned data + rules. Platform infrastructure remains with TOJ.

§7Non-Competition

For 24 months after termination, Client will not build or commission a directly competing "Trainer OS" or equivalent LLM-powered trainer platform independently or with a third party. This clause does not prevent Client from operating their own trainer products (e.g., Trainer Blueprint certification) using their Personal LLM.

§8Termination

• After month 12 · either party may terminate with 30 days written notice
• For cause · either party may terminate immediately on material breach with 15-day cure period
• On termination · Client receives full data export · TOJ preserves platform · public case study remains published unless Client requests removal in writing

§9Confidentiality

Neither party will disclose the other's non-public business information without written consent. Survives termination for 3 years.

§10Miscellaneous

• Governing law: Texas
• Disputes: Resolved first by good-faith discussion · then by mediation before litigation
• Amendments: In writing · signed by both parties
• Entire agreement: This document supersedes all prior discussions
